1. Overview

CapacitAI LLC ("CapacitAI," "we," "us") provides training, assessment, and advisory services for professionals and organizations seeking to develop AI-enabled work capabilities. These Terms of Service ("Terms") govern your use of our website (https://capacitai.netlify.app) and all paid programs and services.

By using our services, you agree to these Terms. If you do not agree, do not use our services.

2. Services

2.1 Learner Programs

Your AI Edge: A paid 21-day daily path where non-technical professionals build a reusable AI system for their actual job, produce real work outputs, and receive employer-readable proof of capability. Days 1–3 are free.
Starter Workshop: A paid introductory workshop covering AI fundamentals and practical workflows.
Technical Agent Engineering Cohort: A paid technical program for professionals building production-grade AI agents and workflow systems.

2.2 Employer Services

Verified Talent: A paid recruiting service providing assessment-backed candidates with practical AI use, communication, and role-relevant execution.
Team Upskilling: Role-based Your AI Edge cohorts for business teams across sales, marketing, operations, HR, and support.
Technical Capability Training: AI Engineering training for internal tools, assistants, and workflow systems.
Advisory Sprint: A paid strategic advisory engagement.

3. No Guarantees

CapacitAI does not guarantee:

Job placement or employment outcomes.
Specific salary increases or career advancement.
Specific productivity gains or business outcomes.
Admission to any particular employer or role.

Our services teach capabilities, provide assessments, and deliver employer-readable proof of skill. Results depend on your effort, application, and market conditions.

4. Payments and Refunds

4.1 Program Fees

Fees are disclosed at enrollment and must be paid before program start unless installment terms are explicitly agreed.
Your AI Edge may be paid in full or in 2 installments. Other programs require full payment before start unless otherwise specified.

4.2 Employer Service Fees

Employer services require a signed Statement of Work (SOW) or engagement agreement.
Payment terms are specified in the SOW.

5. Intellectual Property

5.1 Our Content

All course materials, rubrics, diagnostic tools, frameworks, and content remain the intellectual property of CapacitAI. You receive a limited, non-transferable license to use these materials for personal learning during your enrollment period.

5.2 Your Work

Assignments, capstones, and portfolio artifacts you create during our programs are your intellectual property. You may use them in your portfolio, job applications, and professional contexts.

6. Code of Conduct

CapacitAI is committed to a respectful, inclusive learning environment. We reserve the right to remove any participant who:

Harasses, discriminates against, or intimidates others.
Shares course materials outside the cohort without permission.
Uses AI tools to complete assessments in ways that misrepresent their own capability.
Violates any applicable law.

Removal may occur without refund if the violation is material.

7. Limitation of Liability

To the maximum extent permitted by law, CapacitAI's total liability for any claim arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim.

CapacitAI is not liable for:

Indirect, incidental, or consequential damages.
Lost profits or lost opportunities.
Decisions made by employers based on our assessments or candidate referrals.

8. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, either party may pursue resolution through binding arbitration in New York, NY, under the rules of the American Arbitration Association.

9. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance.
